Accepting the Terms

ReportingBuddy is Software by Beyond Spreadsheet Systems Pvt. Ltd. (hereafter called as Beyond Spreadsheet).

In order to use the Software, you must first agree to the Terms. You may not use the Software if you do not accept the Terms:

By clicking "I Agree," indicating acceptance electronically, or by installing, accessing or using the Software, you agree to these terms. If you do not agree to these terms, then you may not use the Software.

You may not use the Software and may not accept the terms if:

  • you are not of legal age to form a binding contract with Beyond Spreadsheet, or;
  • you are not a resident of India, or;
  • you are not duly authorised by the Board of Directors of the company, to use the Software on behalf of a Company;
  • you are not duly authorised by other Partners in writing, to use the Software on behalf of a Partnership Firm.

Provision of the Software by Beyond Spreadsheet

Beyond Spreadsheet is constantly innovating in order to provide the best possible experience to its users. You acknowledge and agree that the form and nature of the Software which Beyond Spreadsheet provides may change from time to time, without prior notice to you.

As part of this continuing innovation, you acknowledge and agree that Beyond Spreadsheet may stop (permanently or temporarily) providing the Software (or any features within the Software) to you, or to users, generally at Beyond Spreadsheet's sole discretion, without prior notice to you. You may stop using the Software at any time. You do not need to specifically inform Beyond Spreadsheet when you stop using the Software.

You acknowledge and agree that if Beyond Spreadsheet disables access to your account, you may be prevented from accessing the Software, your account details or any files or other content which is contained in your account.

Use of the Software by you

The Software is protected by copyright, trade secret, and other intellectual property laws. You are only granted certain limited rights to install and use the Software, and Beyond Spreadsheet reserves all other rights in the Software not granted to you in writing herein. As long as you meet any applicable payment obligations and comply with these Terms and Conditions, Beyond Spreadsheet grants you a personal, limited, nonexclusive, non-transferable, revocable license to use the Software, only for the period of use provided in the ordering, activation terms or elsewhere, as set forth in these Terms and Conditions, or in accordance with product discontinuation policies, as updated from time to time, and only for the purposes described by Beyond Spreadsheet for the Software.

You acknowledge and agree that the Software is licensed, not sold. You agree not to use, nor permit any third party to use the Software in a manner that violates any applicable law, regulation or these Terms and Conditions, unless otherwise permitted by Beyond Spreadsheet in writing. You further agree that you shall not:

  • Provide access to, or give the Software, or any part of the Software, to any third party;
  • Reproduce, duplicate, modify, copy, deconstruct, reverse-engineer, sell, trade or resell the Software;
  • Transfer your license to the Software, to any other party;
  • Attempt unauthorized access to any other systems, that are not part of the Software;
  • Permit any third party to benefit from the use or functionality of the Software via a rental, lease, timesharing, service bureau, hosting service, or other arrangement; or
  • Make the Software available on any file-sharing or application hosting service.
  • Will not impart or provide any training using the Software to anyone other than your own employees whether for free or any consideration.

You agree that you are solely responsible for (and that Beyond Spreadsheet has no responsibility to you or to any third party for) any breach of your obligations under the Terms and for the consequences (including any loss or damage which Beyond Spreadsheet may suffer) of any such breach.

If you prepare any financial statements or any other reports or details for another company, you shall have the permission of other company and you also must fully understand the implications of this action. Beyond Spreadsheet shall not be held responsible, to other company (ies) in any manner what so ever, irrespective of whether you have the permission or not.

Your passwords and account security

You agree and understand that you are responsible for the use of the Software licensed to you. Accordingly, you agree that you shall be solely responsible to Beyond Spreadsheet, for any misuse of the Software licensed to you.

If you become aware of any unauthorized use of the Software, you agree to notify Beyond Spreadsheet, immediately

You are responsible for all materials uploaded, posted or stored through your use of the Software (collectively "Content"). You should archive your Content frequently. You are responsible for lost or unrecoverable Content. Beyond Spreadsheet shall not be held responsible for the loss of any Content, or data you provide through your use of the Software.

You agree not to use the Software, nor permit any third party to use the Software, to upload, post, distribute, link to, publish, reproduce, engage in, or transmit any of the following:

  • Illegal, fraudulent defamatory, obscene, pornographic, profane, threatening, abusive, hateful, harassing, offensive, inappropriate or objectionable information or communications of any kind, including without limitation conduct that would encourage "flaming" others, or result in criminal or civil liability under any local, state, federal or foreign law;
  • Content that would impersonate someone else or falsely represent your identity or qualifications, or that constitutes a breach of any individual's privacy;
  • Viruses, Trojan horse, worms or other disruptive or harmful software or data; or
  • Any information, software or Content which is not legally yours, except with permission from the owner of the information. For any processing or any other user of data belonging to any other person, you shall have written authorisation of process, or use the data otherwise.

Beyond Spreadsheet or its associated/affiliated companies may, but has no obligation to monitor content on, or via the Software. Beyond Spreadsheet may disclose any information necessary to satisfy our legal obligations to protect it. Beyond Spreadsheet, in its sole discretion, may refuse to post, remove, or refuse to remove, any content, in whole or in part, alleged to be unacceptable, undesirable, inappropriate, or in violation of this Agreement.

Privacy and your personal information

For information about Beyond Spreadsheet’s data protection practices, please read Beyond Spreadsheet’s privacy policy at www.reportingbuddy.com. This policy explains how Beyond Spreadsheet treats your personal information, and protects your privacy, when you use the Software.

You agree to the use of your data in accordance with Beyond Spreadsheet’s privacy policies.

Correctness of the Financial Reports and/or other reports

Beyond Spreadsheet takes immense care in ensuring the correctness of the software to prepare financial statements and reporting. While there are strong test suites and professionals who work hard to ensure the correctness of Beyond Spreadsheet’s software, but the interpretations of any regulations, accounting standards, guidance notes and any other laws governing the reporting compliance, apply differently in different circumstances. Beyond Spreadsheet provides no guarantee or warranty on the correctness of your Financial Statements and/or other reports. You are required to review your Financial Statements or Reports or any statement or details for ensuring correctness and compliance to the regulations, standards, etc. You will not hold Beyond Spreadsheet responsible for any issue that arises from incorrect Financial Statements and/or other reports generated by using the Software. You shall keep Beyond Spreadsheet, indemnified for any direct/ indirect loss/ penalty, monetary or otherwise, by any third party.

Exclusion of warranties

  • You expressly understand and agree that your use of the software is at your sole risk and that the software is provided "as is" and "as available".
  • In particular, beyond spreadsheet, its subsidiaries and affiliates, and its licensors (if any) do not represent or warrant to you, that:
    • Your use of the software will meet your requirements,
    • Your use of the software will be uninterrupted, timely, secure or free from error,
    • Any information obtained by you as a result of your use of the software will be accurate or reliable, and
    • The defects in the operation or functionality of any software provided to you as part of the software will be corrected.
  • Any material, information or data obtained through the use of the software is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or other device or loss of data that results from the download of any such material.
  • Any advice or information, whether oral or written, obtained by you from beyond spreadsheet including its associates or affiliates or through the use of software shall not create any warranty expressly or otherwise, stated in the terms.
  • Beyond spreadsheet further expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement.

Limitation of liability

  • To the maximum extent permitted by applicable law, the entire liability of beyond spreadsheet, its affiliates and suppliers for all claims relating to this agreement shall be limited to the license fee you paid to beyond spreadsheet for the software during the twelve (12) months prior to such claim. Subject to applicable law, beyond spreadsheet, its affiliates and suppliers are not liable for any of the following:
    • Direct, indirect, special, incidental, punitive or consequential damages;
    • Damages relating to failures of telecommunications, the internet, electronic communications, corruption, security, loss or theft of data, viruses, spyware, loss of business, revenue, profits or investment, or use of software or hardware that does not meet software requirements.
    • Any changes which beyond spreadsheet may make to the software, or for any permanent or temporary cessation the software (or any features within the software).

The above limitations apply even if beyond spreadsheet and its affiliates and suppliers have been advised of the possibility of such damages. This agreement sets forth the entire liability of beyond spreadsheet and its affiliates and suppliers, and your exclusive remedy with respect to the software and its use.

Governing law

Any dispute arising out of these terms and conditions shall be subject to the jurisdiction of Delhi, India only.
